Tokyo, Japan - At Sony Group Corporation's Nominating Committee meeting held earlier today, the following candidates were nominated as Members of Sony Group Corporation's Board of Directors for 2025. The nominees are subject to the approval at the Ordinary General Meeting of Shareholders, to be held in June 2025.
The candidates for Members of the Board are as follows:
"Yoshihiko Hatanaka was appointed to Sony's Board of Directors in June 2019, and fulfilled the roles of Chair of the Board and Chair of the Nominating Committee for 2 years since June 2023. He dedicated to enhancing the effectiveness of the Board and Nominating Committee through his constant oversight from a high-level and global perspective. In particular, he deeply involved in the CEO succession process from me to Hiroki Totoki this fiscal year. Sakie Akiyama has also served with distinction on Sony's Board for 6 years since June 2019, and has contributed to enhancing governance especially in the compensation area. I extend my deepest gratitude to Hatanaka-san and Akiyama-san. I will continue to support Totoki-san as Executive Chairman of the Sony Group to maintain deep dialogue between the Board chaired by Wendy Becker and the new management team."
"I would sincerely like to express my gratitude to Hatanaka-san and Akiyama-san for their 6 years of dedication as directors of the Sony Group. Following the Ordinary General Meeting of Shareholders in June, under the oversight of the diverse Board of Directors, newly joined by Yoriko Goto as a member of Audit Committee, Nora Denzel as a member of Compensation Committee and Information Security, Masayuki Hyodo as a member of Nominating Committee and Compensation Committee, and chaired by Becker-san, we will continue to work to create value from a long-term perspective with our approximately 110,000 employees for the further evolution and growth of the Sony Group."
"For the past 2 years, I have had the honor of serving as Chair of the Board of the Sony Group. I am very pleased that we were able to deepen our discussions and considerations towards enhancing Sony's corporate value, based on a healthy level of tension in the relationship between the Board and the management team led by Yoshida-san and Totoki-san. Sony is engaged in diverse businesses globally, and amidst a rapidly changing business environment, it was a pleasure to be involved in moving Sony steadily forward under Sony's Purpose."
"I am very honored to succeed Hatanaka-san, and to be nominated as Chair of the Board of the Sony Group. Although Hatanaka-san and Akiyama-san will be stepping away, I am encouraged that the Sony Group Board of Directors, including its new members Goto-san and Denzel-san and Hyodo-san, will be comprised of members with even more diverse and exceptional backgrounds. In cooperation with the other Board members, I intend to further strengthen Sony's corporate governance, and contribute to sustainably enhancing the Sony Group's corporate value together with the new management team led by Totoki-san."
